Scrancycle: A brand owned by Clearance and Clean Up Ltd, representing food waste collection services.
Clearance and Clean Up: Clearance and Clean Up Ltd, as set out in your Waste Service Agreement.
Business Day: Monday to Friday, excluding weekends and public holidays, when banks in London are open.
Commencement Date: The date services begin, as confirmed under Section 2.
Contract: The agreement between Clearance and Clean Up and the Customer, including the Waste Service Agreement and these Terms.
Customer: The person, company, or organisation named in the Waste Service Agreement who is buying the services.
Services: The waste management services provided by Clearance and Clean Up, as detailed in the Waste Service Agreement.
Equipment: Any bins, containers, or other equipment provided by Clearance and Clean Up.
Site: The Customer’s premises where services are carried out.
Initial Period: The first 12 months from the Commencement Date.
Service Amendment: A change to service frequency or requirements (not including time or access restrictions).
Data Protection Legislation: UK data protection laws, including GDPR and the Data Protection Act 2018.
Forming the Contract
A quotation from Clearance and Clean Up is not a binding offer and is valid for 30 days.
The Contract starts once:
The signed Waste Service Agreement is returned and the start date confirmed, or
Clearance and Clean Up begins providing services following the Customer’s instructions, even if the signed agreement is not returned.
Customers must ensure the information in the Waste Service Agreement is correct.
Any changes must be agreed in writing.
These Terms override any terms the Customer may try to introduce.
Term and Termination
The Contract starts on the Commencement Date and automatically renews each year unless properly ended.
The Customer may end the Contract by giving at least 1 months’ notice ending on the last day of the Initial Period or a renewal date.
Clearance and Clean Up may end the Contract:
By giving 30 days’ notice at any time, or
Immediately if the Customer:
Fails to pay on time
Changes control of the business
Breaches the Contract and cannot fix it
Breaches the Contract and fails to fix it within 14 days
Fails to return required compliance documents
Goes insolvent, bankrupt, or ceases trading
On termination, the Customer must:
Pay all outstanding invoices
Return any equipment (or allow Clearance and Clean Up to collect it)
Charges and Payment
Costs are set out in the Waste Service Agreement.
Invoices are usually issued monthly in advance unless otherwise stated.
Payments must be made within the terms stated (or 14 days if not specified).
Payments must be made in pounds sterling, either by direct debit or bank transfer.
VAT is charged in addition to all costs.
Clearance and Clean Up may:
Increase costs with 30 days’ notice
Adjust charges if waste type or volume changes
Charge extra for compliance documents, overweight bins, contaminated bins, or unsuitable waste
Add admin fees for service changes
Late payments:
Interest charged at 4% above Barclays Bank base rate per month
Services may be suspended until payment is received
Clearance and Clean Up’s Responsibilities
Provide services with reasonable care and skill.
Deliver and retain ownership of all equipment.
May adjust service times or days if required by law or operational needs (with notice).
Maintain appropriate insurance.
Customer’s Responsibilities
Cooperate fully and provide free access to sites and equipment.
Ensure surfaces are safe and suitable for moving bins/containers.
Store waste safely and in the correct bins.
Do not place soil, rubble, timber, or unsuitable items in containers.
Notify Clearance and Clean Up of any changes in waste type.
Sign and return all waste transfer notes within 14 days.
Keep all equipment safe, insured, and in good condition.
Customer is responsible for any damage, misuse, or loss of equipment.
Clearance and Clean Up may charge for failed collections caused by Customer issues.
Limitation of Liability
Clearance and Clean Up does not exclude liability for:
Death or personal injury caused by negligence
Fraud or misrepresentation
Anything unlawful to exclude
Otherwise:
Not liable for loss of profit or indirect losses
Total liability limited to 100% of the average yearly charges under the Contract
Data Protection
Both parties must comply with data protection laws.
Only basic business contact details will be shared.
Serious breaches not fixed within 30 days allow termination.
Customers must indemnify Clearance and Clean Up for losses caused by their data breaches.
Force Majeure
Clearance and Clean Up is not responsible for delays or failure caused by events beyond control (e.g. strikes, extreme weather, accidents, or legal restrictions).
Customers remain responsible for their own obligations.
Other Legal Terms
Severance: Invalid parts of the Contract do not affect the rest.
Notices: Must be sent by post, courier, or email to the registered/trading address.
Confidentiality: Both parties must keep information confidential, except where required by law.
Assignment: Customers cannot transfer the Contract without permission. Clearance and Clean Up can subcontract or transfer without consent.
TUPE: If employment transfers apply, the Customer will indemnify Clearance and Clean Up for related claims.
Waiver: Failure to enforce rights does not mean rights are waived.
Third Parties: No one else has rights under this Contract.
Call Recording: Calls may be recorded for training/monitoring and kept no longer than 3 years.
Governing Law: This Contract is under English law. Disputes will be dealt with in English courts.
